Agreement to these terms

These Terms of Service (the “Terms”) are a binding agreement between you and AI Launch, LLC (“AI Launch,” “we,” “us,” or “our”). They govern your access to and use of the website at goailaunch.com and the AI Launch platform and related services (together, the “Services”).

By accessing or using the Services, you agree to these Terms. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have authority to bind that entity, and “you” refers to that entity. If you do not agree, do not use the Services.

The services

The AI Launch platform is software that helps businesses operate marketing and growth functions across advertising on Meta and Google, hosted landing pages, and lead follow-up by phone and text. Features, capabilities, and integrations may change over time as the platform develops. We may add, modify, or discontinue functionality, and we will use reasonable efforts to give notice of material changes that adversely affect paying customers.

The Services are provided for business use. Nothing in the Services constitutes legal, financial, tax, or professional advice, and results are not guaranteed.

Eligibility and accounts

You must be at least 18 years old and capable of forming a binding contract to use the Services. You are responsible for the accuracy of the information you provide, for maintaining the confidentiality of your account credentials, and for all activity that occurs under your account. Notify us promptly at hello@goailaunch.com if you suspect unauthorized use.

Acceptable use

You agree not to, and not to permit anyone else to:

• use the Services in violation of any applicable law or regulation;
• use the Services to send unlawful, deceptive, harassing, or unsolicited bulk communications;
• infringe or misappropriate the intellectual property or privacy rights of others;
• attempt to gain unauthorized access to the Services, other accounts, or related systems or networks;
• probe, scan, or test the vulnerability of the Services, or circumvent any security or access control;
• reverse engineer, decompile, or attempt to derive source code from the Services, except where that restriction is prohibited by law;
• resell, sublicense, or provide the Services to third parties except as expressly permitted in writing; or
• interfere with or disrupt the integrity or performance of the Services, including by placing unreasonable load on them.

Third-party platforms

The Services integrate with third-party platforms, including advertising platforms such as Google Ads. Your use of those platforms is governed by their own terms and policies, and you remain responsible for complying with them, including any advertising policies applicable to campaigns run through your accounts.

When you connect a third-party account, you authorize us to access and act on that account to the extent needed to provide the features you have configured. You may revoke that authorization at any time. We are not responsible for the availability, accuracy, or actions of third-party platforms, or for changes they make to their APIs, policies, or pricing.

Your data and content

You retain all rights in the data, content, and materials you or your connected accounts provide to the Services (“Customer Data”). You grant us a non-exclusive, worldwide licence to host, process, transmit, and display Customer Data solely as needed to provide and support the Services, and to comply with law.

You represent that you have the necessary rights and permissions to provide Customer Data and to authorize our processing of it, and that doing so does not violate any law or third-party right. Our handling of personal information is described in our Privacy Policy.

Fees and payment

Paid features are billed according to the plan or order you agree to. Unless stated otherwise, fees are quoted in US dollars, are payable in advance, and are non-refundable except where required by law. You are responsible for applicable taxes other than taxes on our income. We may change pricing on renewal with reasonable prior notice. Failure to pay may result in suspension or termination of access.

Intellectual property

The Services, including all software, interfaces, text, graphics, and the AI Launch names and logos, are owned by AI Launch or its licensors and are protected by intellectual property laws. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Services for your internal business purposes. No other rights are granted.

If you send us feedback or suggestions, you grant us an unrestricted right to use them without obligation to you.

Confidentiality

Each party may receive non-public information of the other. The receiving party will use such information only to perform under these Terms, will protect it with at least reasonable care, and will not disclose it except to personnel and advisers bound by confidentiality obligations, or where compelled by law.

Disclaimers

The Services are provided “as is” and “as available.” To the fullest extent permitted by law, we disclaim all warranties, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or secure, or that they will produce any particular business result, ranking, placement, lead volume, or return on advertising spend.

Limitation of liability

To the fullest extent permitted by law, neither party will be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, or business interruption, arising out of or relating to these Terms or the Services, even if advised of the possibility of such damages.

To the fullest extent permitted by law, our total aggregate liability arising out of or relating to these Terms or the Services will not exceed the greater of the amounts you paid us for the Services in the twelve months preceding the event giving rise to the claim, or one hundred US dollars.

Indemnification

You will defend, indemnify, and hold harmless AI Launch and its officers, directors, employees, and agents from and against any claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of or relating to your Customer Data, your use of the Services, your advertising or marketing activity, or your breach of these Terms or of any applicable law or third-party platform policy.

Term and termination

These Terms apply while you access or use the Services. You may stop using the Services at any time, and may cancel a paid plan in accordance with your order. We may suspend or terminate access immediately if you breach these Terms, if required by law, or if your use poses a security or legal risk. On termination, your right to access the Services ends. Sections that by their nature should survive termination will survive, including those covering Customer Data licences, intellectual property, confidentiality, disclaimers, liability, and indemnification.

Governing law and disputes

These Terms are governed by the laws of the State of Arizona, United States, without regard to its conflict of laws rules. The parties submit to the exclusive jurisdiction of the state and federal courts located in Maricopa County, Arizona, and waive any objection to venue there. Before filing a claim, each party agrees to attempt in good faith to resolve the dispute by contacting the other.

Changes to these terms

We may update these Terms from time to time. When we do, we will revise the date at the top of this page, and where the changes are material we will provide a more prominent notice. Continued use of the Services after an update means you accept the revised Terms.
